1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you and Learn Guidance and Control LLC, which operates Trajecti ("Trajecti," "we," "our," or "us"), governing your access to and use of the Trajecti application, website, and related services (collectively, the "Services").
By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services. Where the Services present an acceptance control, selecting that control constitutes your electronic acceptance of these Terms.
Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference. Certain features, programs, promotions, or services may be subject to additional terms, conditions, or policies, which are incorporated into these Terms to the extent they apply.
2. ELIGIBILITY
The Services are intended for use by individuals who are at least eighteen (18) years of age and who have the legal capacity to enter into a binding agreement.
By creating an account or using the Services, you represent and warrant that:
- you are at least eighteen (18) years of age;
- you have the legal authority and capacity to enter into these Terms;
- the account registration information you provide is materially accurate to the best of your knowledge; and
- your use of the Services complies with these Terms and all applicable laws and regulations.
Trajecti may refuse, suspend, or terminate access to the Services if we reasonably believe that you do not satisfy these eligibility requirements or have provided materially inaccurate information in connection with your account.
3. DEFINITIONS
For purposes of these Terms, the following definitions apply:
Account means the user account established to access and use the Services.
Application-Generated Information means financial guidance, projections, forecasts, recommendations, analyses, alerts, progress indicators, summaries, notifications, and other informational outputs generated by the Services based on available information and application processing.
Internal Guidance Data means internal application information used to generate, maintain, operate, validate, and deliver Application-Generated Information. This may include application state information, configuration information, scheduling and automation information, processing metadata, diagnostic records, and other operational information used by the Services.
Planning Horizon means a user-defined or system-defined planning period over which the Services organize, analyze, and generate financial guidance. At the conclusion of a Planning Horizon, information may transition from active use to archived records in accordance with these Terms and the Privacy Policy.
Services means the Trajecti application, website, and any related software, features, content, functionality, integrations, communications, and services provided by Learn Guidance and Control LLC through Trajecti.
User-Provided Financial Information means financial information provided directly by a user or, where available and authorized by the user, obtained through connected financial accounts or third-party financial service providers. This includes financial goals, budgets, spending records, transaction information, categories, notes, Workspace information, and other financial information provided through the Services.
Workspace means a collaborative environment within the Services through which one or more authorized users may access, contribute to, or manage shared information in accordance with the collaboration features and permission model supported by the Services.
4. DESCRIPTION OF THE SERVICES
The Services are designed to assist users in organizing financial information, establishing financial goals, monitoring spending activity, and generating Application-Generated Information intended to support financial awareness and informed financial decision-making.
The Services may utilize User-Provided Financial Information, Internal Guidance Data, computational models, statistical methods, machine learning, behavioral models, and other analytical or automated processing techniques to generate Application-Generated Information and provide other functionality through the Services.
The Services are intended to adapt and evolve over time. Features, functionality, computational methodologies, Planning Horizons, Workspace capabilities, financial account integrations, automation features, personalization capabilities, and other aspects of the Services may be added, modified, suspended, restricted, or discontinued at any time.
The Services are intended to assist users in making informed financial decisions. However, users remain responsible for evaluating their own financial circumstances and making their own financial decisions.
5. APPLICATION-GENERATED INFORMATION AND FINANCIAL GUIDANCE
Application-Generated Information is intended to assist users in understanding financial information, monitoring spending activity, evaluating progress toward financial goals, and supporting financial awareness and informed decision-making. Application-Generated Information is generated through automated processing based on information available to the Services at the time it is generated. The content, methodologies, and functionality of Application-Generated Information may evolve as the Services are updated and improved.
Application-Generated Information is informational in nature and is not intended to constitute financial, investment, legal, tax, accounting, debt management, insurance, or other professional advice. Trajecti is not a bank, broker-dealer, registered investment adviser, certified public accountant, attorney, insurance provider, fiduciary, or other licensed financial professional.
Application-Generated Information may be incomplete, delayed, inaccurate, unavailable, or unsuitable, including as a result of software defects, computational or implementation errors, data synchronization issues, system failures, unavailable or inaccurate information, third-party services, or other operational or technical limitations of the Services. Changes to User-Provided Financial Information, external information, economic conditions, market conditions, user circumstances, or other factors may also affect the relevance or accuracy of Application-Generated Information over time.
You are solely responsible for evaluating your own financial circumstances, verifying relevant information, exercising independent judgment, and making your own financial decisions. Application-Generated Information should not be relied upon as the sole basis for making financial decisions. No Application-Generated Information should be interpreted as a guarantee, prediction, commitment, or assurance that any particular financial outcome will occur.
6. USER-PROVIDED FINANCIAL INFORMATION
You are responsible for the User-Provided Financial Information that you provide through the Services. User-Provided Financial Information may include estimates, assumptions, projections, budgets, financial goals, transaction information, categories, notes, and other information that may be incomplete, approximate, or subject to change over time.
You are responsible for reviewing and updating your User-Provided Financial Information as appropriate for your intended use of the Services. The quality, relevance, and usefulness of Application-Generated Information may depend upon the completeness, accuracy, and timeliness of the information available to the Services.
Where the Services support connected financial accounts or third-party financial information, such information may be delayed, incomplete, unavailable, duplicated, incorrectly categorized, or otherwise inaccurate. Trajecti does not guarantee the completeness, accuracy, availability, or timeliness of information received from third-party providers.
Trajecti does not guarantee or independently verify the accuracy or completeness of User-Provided Financial Information or third-party financial information. You remain responsible for reviewing your financial information and verifying important financial decisions using appropriate independent sources.
7. WORKSPACES AND COLLABORATION
The Services may permit users to create or participate in one or more Workspaces for the purpose of sharing information and collaborating through the Services. By creating, joining, or participating in a Workspace, you acknowledge that other authorized Workspace members may be able to view, contribute to, modify, or otherwise interact with information shared within that Workspace in accordance with the collaboration features supported by the Services.
Workspace owners and other authorized Workspace members are responsible for exercising reasonable judgment when inviting additional users to a Workspace. By inviting another user to a Workspace, you acknowledge that the invited user may receive the permissions provided by the current version and configuration of the Services, including the ability to access, modify, or contribute to Workspace information where permitted by the Services.
The permissions, roles, and collaboration features available within Workspaces may evolve over time. Trajecti may add, modify, restrict, or remove Workspace functionality or permission controls at any time.
You are responsible for your interactions with other Workspace members, your decisions to invite other users, and your participation in collaborative Workspaces. To the maximum extent permitted by applicable law, Trajecti is not responsible for disputes, actions or omissions by Workspace members, decisions to invite additional users, or other consequences arising from Workspace participation or collaboration between users. Trajecti does not independently supervise, monitor, mediate, or resolve disputes between Workspace members.
8. ACCEPTABLE USE
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree that you will not:
- use the Services in violation of any applicable law or regulation;
- use the Services in a manner that interferes with, disrupts, damages, or compromises the operation, security, integrity, or availability of the Services;
- attempt to gain unauthorized access to the Services, Accounts, Workspaces, systems, networks, or data;
- circumvent or attempt to circumvent authentication, access controls, security measures, or other protective features of the Services;
- introduce malware, malicious code, viruses, automated attacks, or other harmful technologies into or through the Services;
- use the Services to harass, abuse, threaten, defraud, impersonate, or otherwise violate the rights of another person or entity;
- upload, transmit, or otherwise provide information that you do not have the legal right to use or share;
- use the Services to engage in fraudulent, deceptive, or unlawful financial activity;
- use the Services, or non-public information obtained through the Services, to develop, benchmark, train, evaluate, validate, reproduce, or otherwise support a competing product, service, technology, computational model, guidance methodology, or other competing offering without the prior written authorization of Trajecti;
- interfere with another user's use or enjoyment of the Services; or
- encourage, assist, or permit another person to engage in conduct prohibited by these Terms.
Trajecti may investigate suspected violations of this Section and may suspend, restrict, or terminate access to the Services as permitted under these Terms and applicable law.
9. INTELLECTUAL PROPERTY AND LICENSE RESTRICTIONS
The Services, including the software, source code, object code, user interface, visual designs, trademarks, service marks, trade names, logos, documentation, text, graphics, workflows, computational models, algorithms, guidance methodologies, system architecture, data structures, trade secrets, know-how, and other proprietary technology, together with all related intellectual property rights, are owned by or licensed to Learn Guidance and Control LLC and are protected by applicable intellectual property and other laws.
Subject to these Terms, Trajecti grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for your personal, household, or organizational use in accordance with these Terms and applicable law.
Except as expressly permitted by applicable law or by Trajecti in writing, you may not: (i) copy, modify, or redistribute the software or other proprietary components of the Services; (ii) reverse engineer, decompile, disassemble, or otherwise attempt to discover, derive, or access the source code, algorithms, computational models, guidance methodologies, system architecture, non-public functionality, trade secrets, or other proprietary aspects of the Services; (iii) reproduce, extract, or recreate the computational models, guidance methodologies, Planning Horizon methodologies, workflows, or other proprietary technologies embodied in the Services; or (iv) use the Services or information obtained through the Services to develop, benchmark, train, evaluate, validate, reproduce, or otherwise support a competing product, service, technology, computational model, guidance methodology, or other competing offering without the prior written authorization of Trajecti.
No rights or licenses are granted except those expressly set forth in these Terms. All rights not expressly granted are reserved by Learn Guidance and Control LLC.
10. FEEDBACK
If you voluntarily provide Trajecti with suggestions, ideas, proposals, feature requests, enhancement requests, comments, feedback, bug reports, test results, or other information relating to the Services ("Feedback"), you grant Learn Guidance and Control LLC a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, incorporate, commercialize, and otherwise exploit such Feedback for any lawful purpose without restriction or compensation to you.
You represent and warrant that you have the legal right to provide any Feedback you submit and that such Feedback does not knowingly infringe the intellectual property or other rights of any third party.
Providing Feedback is entirely voluntary. Except as expressly agreed in writing by Trajecti, submitting Feedback does not create any obligation of confidentiality, compensation, attribution, partnership, joint development, fiduciary relationship, or ownership interest in the Services or any improvements to the Services.
11. THIRD-PARTY SERVICES
The Services may utilize or integrate with third-party products, platforms, software, websites, application stores, authentication providers, financial institutions, financial data providers, payment processors, cloud infrastructure providers, communication services, analytics providers, artificial intelligence services, or other third-party services (collectively, "Third-Party Services").
Your use of Third-Party Services may be subject to separate terms, conditions, privacy policies, and other agreements established by the applicable third-party provider. Trajecti is not responsible for the availability, content, security, privacy practices, performance, policies, or actions of any Third-Party Services.
Information obtained from or provided to Third-Party Services may be delayed, unavailable, incomplete, inaccurate, interrupted, modified, or discontinued. Trajecti does not guarantee the availability, accuracy, completeness, reliability, timeliness, or continued availability of any Third-Party Services or information provided through them.
Trajecti may add, modify, replace, suspend, or discontinue Third-Party Services or integrations at any time without liability or obligation to continue supporting any particular provider, integration, or feature.
12. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.
TRAJECTI MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM DEFECTS.
WITHOUT LIMITING THE FOREGOING, TRAJECTI DOES NOT WARRANT THAT APPLICATION-GENERATED INFORMATION, USER-PROVIDED FINANCIAL INFORMATION, THIRD-PARTY SERVICES, OR ANY OTHER INFORMATION AVAILABLE THROUGH THE SERVICES WILL BE COMPLETE, ACCURATE, TIMELY, RELIABLE, AVAILABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEARN GUIDANCE AND CONTROL LLC, TRAJECTI, AND THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, SAVINGS, DATA, USE, FINANCIAL OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, APPLICATION-GENERATED INFORMATION, USER-PROVIDED FINANCIAL INFORMATION, THIRD-PARTY SERVICES, OR YOUR ACCESS TO OR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF LEARN GUIDANCE AND CONTROL LLC, TRAJECTI, AND THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100.00), OR (B) THE TOTAL AMOUNT PAID BY YOU TO TRAJECTI FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS SET FORTH IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND SHALL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
14. INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Learn Guidance and Control LLC, Trajecti, and their respective members, managers, officers, directors, employees, contractors, agents, affiliates, licensors, service providers, successors, and assigns from and against any claims, demands, actions, proceedings, damages, judgments, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to:
- your access to or use of the Services;
- your User-Provided Financial Information;
- your participation in a Workspace or your interactions with other Workspace members;
- your decisions to invite or authorize other users to participate in a Workspace;
- your violation of these Terms or applicable law;
- your infringement or violation of the rights of any person or entity; or
- your fraud, negligence, misconduct, or other wrongful acts or omissions.
Trajecti reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In that event, you agree to cooperate reasonably with Trajecti in the defense of such matter.
15. SUSPENSION AND TERMINATION
You may stop using the Services at any time.
Trajecti may suspend, restrict, or terminate your access to all or part of the Services, with or without notice where permitted by applicable law, for any lawful reason, including if:
- you have violated these Terms or applicable law;
- your use of the Services presents a security, operational, legal, or financial risk to Trajecti, the Services, or other users;
- your Account has been compromised or is being used without authorization;
- continued access could interfere with the operation, integrity, security, or availability of the Services; or
- suspension or termination is otherwise reasonably necessary to operate, maintain, protect, improve, or discontinue the Services.
Trajecti reserves the right to suspend, modify, discontinue, or permanently terminate any part of the Services, including specific features, functionality, integrations, subscription offerings, or the Services as a whole, at any time.
Termination of your Account or your access to the Services does not relieve you of obligations that accrued before termination. Those provisions of these Terms that by their nature should survive termination shall remain in effect following termination.
16. GOVERNING LAW AND INFORMAL DISPUTE RESOLUTION
These Terms and any dispute, claim, or controversy arising out of or relating to the Services or these Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles.
Before initiating any lawsuit, arbitration, or other formal legal proceeding arising out of or relating to the Services or these Terms, you and Trajecti agree to make a good-faith effort to resolve the dispute informally.
To initiate the informal dispute resolution process, the party seeking relief must provide written notice describing the nature of the dispute and the relief requested. Notices to Trajecti must be sent to support@truecourseguidance.com. The parties agree to attempt to resolve the dispute through informal discussions for at least sixty (60) days after the notice is received before commencing any formal legal proceeding, unless a shorter period is required by applicable law or emergency relief is necessary.
17. BINDING INDIVIDUAL ARBITRATION
Except for disputes that may be brought in small claims court as provided below, or claims for injunctive or other equitable relief relating to intellectual property or unauthorized access to the Services, you and Trajecti agree that any dispute, claim, or controversy arising out of or relating to the Services or these Terms shall be resolved exclusively through final and binding individual arbitration.
The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms, and shall be conducted before a single neutral arbitrator. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, except as otherwise provided by applicable law.
The arbitration may be conducted remotely unless the arbitrator determines that an in-person hearing is required. If an in-person hearing is required, it shall take place within the State of Florida unless applicable law requires otherwise.
Nothing in this Section prevents either party from bringing an individual action in a court of competent jurisdiction that qualifies for small claims court or from seeking temporary, preliminary, or other equitable relief where necessary to protect intellectual property, confidential information, or the security or integrity of the Services.
If the arbitrator determines that a claim, defense, or requested relief was frivolous, brought in bad faith, or asserted for an improper purpose, the arbitrator may award the prevailing party reasonable attorneys' fees, arbitration costs, and other expenses to the extent permitted by applicable law.
18. CLASS ACTION AND JURY TRIAL WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TRAJECTI AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, MASS ACTION, OR OTHER REPRESENTATIVE PROCEEDING.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TRAJECTI KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.
19. SURVIVAL
The rights and obligations of the parties that by their nature should survive the suspension or termination of the Services or these Terms shall survive, including, without limitation, the provisions relating to Intellectual Property and License Restrictions, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Informal Dispute Resolution, Binding Individual Arbitration, Class Action and Jury Trial Waiver, and any other provisions that by their nature are intended to survive termination.
20. SEVERABILITY
If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions of these Terms shall remain in full force and effect.
If any provision cannot be enforced as written but may be enforced by limiting or modifying its scope, that provision shall be interpreted and enforced to the maximum extent permitted by applicable law in a manner that most closely reflects its original intent while preserving the validity and enforceability of the remaining provisions of these Terms.
21. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any additional terms or policies expressly incorporated by reference or presented in connection with specific Services or features, constitute the entire agreement between you and Trajecti regarding your access to and use of the Services. They supersede all prior or contemporaneous understandings, agreements, representations, communications, and proposals, whether oral or written, relating to the Services.
No waiver, modification, or amendment of these Terms shall be effective unless made in writing by Trajecti or otherwise expressly provided for in these Terms. No failure or delay by Trajecti in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy.
22. ASSIGNMENT
You may not assign, transfer, delegate, or otherwise convey these Terms or any of your rights or obligations under these Terms without the prior written consent of Trajecti. Any attempted assignment in violation of this Section is void to the extent permitted by applicable law.
Trajecti may assign, transfer, delegate, or otherwise convey these Terms, in whole or in part, without your consent, including in connection with a merger, acquisition, corporate reorganization, sale of assets, financing transaction, change of control, or by operation of law. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
23. ELECTRONIC COMMUNICATIONS AND ELECTRONIC RECORDS
By creating an Account or using the Services, you consent to receive communications from Trajecti electronically, including through the Services, email, or other electronic means permitted by applicable law.
You agree that electronic communications, notices, disclosures, agreements, policies, records, and other communications provided by Trajecti satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.
You are responsible for maintaining a current and accurate email address and other contact information associated with your Account. You acknowledge that Trajecti is not responsible for your failure to receive communications resulting from inaccurate or outdated contact information, email filtering, technical issues outside of Trajecti's reasonable control, or your failure to review communications made available through the Services.
24. CHANGES TO THESE TERMS
Trajecti may revise or update these Terms from time to time to reflect changes to the Services, applicable law, business practices, security requirements, or other operational, legal, or commercial considerations.
When we make material changes to these Terms, we will provide notice by appropriate means, which may include posting the revised Terms through the Services, on our website, by email, or through other electronic communications. The updated Terms will indicate the effective date of the revision.
When we make material changes to these Terms, we may require you to affirmatively accept the revised Terms before continuing to use the Services. Where affirmative acceptance is required, continued use alone will not substitute for that acceptance. For other changes, to the maximum extent permitted by applicable law, your continued access to or use of the Services after the effective date of the revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue your use of the Services.
